General Q/A regarding BUYBACK

Hello, i tried searching/reading from multiple sources (including Chatgpt), yet I have few unanswered questions regarding general process of buyback.

  1. what exactly is the entitlement ratio? i heard about acceptance ratio but it is certainly different from entitlement ration. (what i understood is , how many shares i am eligible to tender in a buyback. For eg: If i have 10 shares of wipro( for upcoming buyback), i may not be eligible to tender all 10 shares in buyback.
  2. Acceptance ratio is pretty much clear, that out of tendered shares, how many got accepted and there is absolutely no way to estimate even approximately the acceptance ratio.
    Please correct if i am wrong, or there is something more to it.
  3. every blog/reading material on buyback ends with one page info, i.e. when a company buys its own shares through tender route but no (absolutely none ) talks about these ratios .Please correct if i am wrong, or there exists any detailed reading material on buybacks/ofs/rights issues?.
  4. i also tried to find that document which is released after the buyback ends/post acceptance, not sure what its name is : basis of acceptance/letter of intent? (JUST LIke basis of allotment after IPO allotment is over0but if any body can share exaclly where would i find out that letter which would give me insights on these buybacks process in detail/deapth.

Entitlement Ratio = The minimum number of shares you’re guaranteed to be able to tender in the buyback based on your holdings on the record date.

Acceptance Ratio = The actual percentage of tendered shares that the company finally accepts.

It cannot be known with certainty before the buyback closes. However, experienced investors do make rough estimates based on factors like promoter participation, retail category size, buyback size, and past buybacks. It’s an estimate, not a guarantee.

Most articles stop at explaining the buyback process. The real details are hidden in the company’s Letter of Offer (LoF) and the post-buyback Basis of Acceptance document. These documents explain entitlement calculations, category-wise acceptance, and allocation methodology.

Look for the Basis of Acceptance document released after the buyback closes. It is usually available on the registrar’s website & company website.
