Everything You Need to Know About the TCS Buyback

The board of TCS (Tata Consultancy Services) in its meeting held on January 12, 2022, had approved buyback of 4 crore equity shares aggregating up to Rs. 18,000 crore at Rs. 4,500 per share. The company has fixed February 23, 2022, as the record date to determine the shareholders who will be eligible for the buyback. You can check the announcement from the company here.

You will be eligible for buyback if you have bought shares on or before February 21, 2022, the ex-date is February 22, 2022.


How do I apply for the TCS buyback?

The TCS buyback tender window will open on March 9, 2022 and close on March 23, 2022. You can tender the shares during this period via Console. You can check out the process here.

What are the categories in which I can tender shares in buyback?

There are two categories Retail and General through which one can tender shares in the buyback. The value of shares held in the demat account by February 23, 2022 (record date) end-of-the-day will determine the category through which one will be eligible to apply.

All shareholders holding shares worth Rs. 200,000 or less will be considered under the Retail category. While those holding shares worth more than Rs. 200,000 will be considered under the General category.

Entitlement Ratio
Retail Category 1 share for every 7 shares held on record date
General Category 1 share for every 108 shares held on record date

I’ve pledged shares of TCS, will I be eligible for buyback?

Yes, even if the shares are pledged, you are eligible for all corporate action benefits. However, you will have to unpledge the shares before tendering them in the buyback.


Do I need to submit POA to tender shares in buyback?

POA is not needed to tender shares in the buyback. You can apply for buyback by authorizing CDSL TPIN and OTP.


I had sold TCS shares after the record date, can I still take part in buyback?

Yes, as you were holding the shares on record date you are eligible. You can buy the shares back and tender them in the buyback.


Can I tender more shares than I’m entitled for?

If you tender more shares than your entitlement, then whether these additional shares will be accepted for buyback or not will solely depend on the acceptance ratio decided by the company. The share which are not accepted will be credited back to your demat account by the RTA.

Ex-div date dumping seen in TCS. (Markets have also dumped :innocent: :rofl:)

Great time to start buying this share at the current price. Once the buyback is complete, the market price is bound to go up.

Same happened with infosys as well.

I have bought 30 shares of TCS on 21st Feb , Today 23rs feb recived CDSL mail for credit of shares in my demat account, As record date is 23rd Feb and I have TCS shares in my demat account , But if I sell this shares on 24th feb and again buy TCS shares between tender period ,

  1. Am I eligible to tender shares in buyback ?
  2. If I buy more than 30 shares am I eligible to tender all shares Despite I jave 30 shares on record date ?
  1. Yes, you can sell the shares after the record date and buy them back again when buyback window opens.

  2. You can tender more than 30 shares, but those will not be counted towards entitlement, as you were only holding 30 shares on record date.

The TCS buyback will be a success for the investors as the market is going down the buyback price will be more interesting when the final acceptance ratio will be decided. As per the market speculations, the ratio will be around 50-70%. Let’s hope for the best for the investors. The record date was finalized as of 23 February 2022.

Hello, I have bought 44 shares of TCS on 21st, can I buy more shares, will it affect the retail category?

I don’t think it will affect your ‘retail category’ if you buy now. Since the record date is passed.

The value of shares held in the demat account by February 23, 2022 (record date) end-of-the-day will determine the category through which one will be eligible to apply. Buying additional shares now will not affect it.

Considering the closing price on Feb 23rd was 3563.80/- , so I guess they are going to consider anybody holding 56 or lesser number of TCS shares in their demat account as on 23rd February, will be considered under “Retail” category.

When will the buyback option be available for TCS on the zerodha console?

TCS hasn’t yet announced schedule for the buyback. They should do so in due course. It’ll be available on Console once buyback is open.

I heard that the retail category is based on the buyback price of Rs 4500 and not based on the closing price on Feb 23rd was 3563.80/

For any buyback, the retail category is based on “your holding of shares should be worth less than 2 lakh as on Record date” in other words the “closing price on Record date”.

I got an email from TCS, in brief I am not entitled to tender any shares under the buyback…

I should have bought 3 shares extra or 4 shares lower. I had 11 shares before and bought 14 more shares only for the buyback in the hope of selling 15 shares and keeping 10 shares.

a) Now my doubt is shall I sell 12 shares out of 25 on coming Monday and am I eligible for the buyback of 3 shares?

(or)

b) Am I allowed to sell at least 4 shares out of 25 on coming Monday? Since still, I have 21 shares? (1 Equity Share on buyback for every 7 Equity Shares for small investors)
