What is the tax treatment of shares tendered in buyback?

When I tender my shares to a company in a buyback offer, am I eligible to claim long term capital gain, if I have been holding those shares for more than a year?

I remember to have read somewhere that long term / short term capital gain can be claimed only if the transactions are routed through exchanges and only when STT is paid.

If you are tendering the shares after 1 year ( long term) only eligible for long term capital gain and also STT is paid even on buy back offer from company.
